<p>Often people are unfamiliar with working with attorneys and embarrassed to broach the subject of money, however, it is up to you as a client to raise the topic if you are not clear on the way the fees are structured, think they are too high, or foresee difficulty paying them. You can manage your relationship with your attorney to minimize costs in number of ways:</p>
<ul>
<li>There are certain statutory maximum limits that an attorney can charge, and you need to check that these are not exceeded. With contingency there are different limits depending on the type of claim</li>
<li><strong>Using legal forms is an excellent way to prepare for meetings, and clarifies the main points to be discussed</strong></li>
<li>Make sure that you bring all the required supporting documents</li>
<li>Try to be concise and direct when discussing issues with your attorney</li>
<li>Provide background information to minimize the research that your attorney needs to do</li>
</ul>
<p>Discussing fees may be just as uncomfortable for your attorney as it is for you, but one golden rule to minimize this discomfort is to raise the topic of these fees early! Also, you should make yourself familiar with the way legal fees are charged.<br />
<strong><br />
How Legal Fees are Calculated</strong><br />
There are a few different ways that legal fees can be structured:</p>
<ul>
<li>Flat Fee</li>
<li>Hourly Rate</li>
<li>Contingency Fee</li>
<li>Referral Fee</li>
</ul>
<p>A flat fee is what many clients feel most comfortable with since the total fee for the case is agreed at the outset. One thing to watch out for is the way expenses are treated under this agreement – attorney photocopying fees are going to be more than your local Kinkos so you should try to get a sense of what the likely expenses are going to be if they are not included in the flat fee.</p>
<p>When you are billed based on an hourly rate the rates will vary depending on the seniority of the attorneys working on your case. You should define at the outset the hourly rate for all the staff that will work on your case (senior attorneys, junior attorneys, secretaries, messengers, law clerks, and paralegals), along with an estimate on how the fees will be split between them.</p>
<p>Contingency fees are where an attorney takes a percentage of any money you are awarded in a case. Although you don’t pay any fees, if you lose the case you still have to pay expenses. And if you win the case you should check to see whether the attorney’s fee is paid after expenses have been deducted, or before.</p>
<p>Referral fees are between attorneys and occur when an attorney who took your case then passes it on to another attorney in return for a portion of the fees that you pay to the second attorney.</p>
<p><strong>How to Minimize Fees</strong><br />
Before you set out to consider every way possible to reduce your legal bills you should remember the importance of retaining good counsel. At the end of the day the best attorneys charge more because their superior service, and ability to protect your rights, commands a higher fee in the marketplace for legal services. However, don’t be afraid to discuss fees with your attorney.</p>
<p>It is often that case that fees are negotiable, especially if your case is a large one that will generate a significant amount of fee income. Since what is significant to a small law firm is quite different to a large one, you may have more room to negotiate with a smaller firm, but <strong>never compromise on quality – a dollar saved could be thousands of dollars lost if you select a cheap attorney over a good one. </strong></p>
<p>Another tip is to meet with a number of attorneys before selecting one. That way you should get a range of price points and experience levels to choose from. When you have a relatively simple case that is charged for on a flat fee basis shopping around is a perfectly reasonable step.</p>
<p>Finally, when you do get the bill don’t be embarrassed to check it thoroughly. You should make sure that you are billed regularly and check through both the fees and expenses. Discuss any items you don’t understand with your attorney.<br />

<p>In this article we are going to consider the back of a contract &#8211; an area that inexperienced business people often do not pay enough attention to.<br />
<strong><br />
Back of the Contract</strong><br />
The back of the contract is made up of a concluding clause, the signature page, and attachments.</p>
<p><em>Concluding Clause</em><br />
The concluding clause really just introduces the signatory page, and often could just be omitted. It is usually included to support the flow of the document. An example of an actual concluding clause is, ‘In witness whereof the parties hereto have caused this Agreement to be signed by their respective presidents, attested by their respective chief negotiators, and their signatures placed thereon, all on this 15th day of September 2009.’</p>
<p><em>Signature Page</em><br />
With a contract the form itself must be correct, but just as important is that the right people sign it. If you or the counter-party are not the legal signatory of the document then the terms may not be enforceable. You must make sure that you both have the right to sign the contract.</p>
<p>This is particularly relevant when a contract is being signed between businesses. Other considerations for this type of contract are that the legal structure of the company should be defined, including details of where it is structured/incorporated. However, on the signature page itself these details need not be repeated, and instead the signature block need only have the signatory in capital letters, and depending on the rest of the contract it may state the name of the company the signatory represents, and the date of signing.</p>
<p>Sometimes you may come across a circumstance where a company conducts business as a brand rather that using its actual company name. This is known as dba, or “doing business as.” If this is the case then this should be referenced in the contract, but not on the signature page.</p>
<p><em>Attachments</em><br />
Attachments are information that comes after the body of the contract, and take the form of exhibits and schedules. Exhibits are self-contained pieces of information which support the contract, such as maps or drawings. Schedules are pieces of factual information that are linked directly to the contract.<br />
<strong><br />
Contract Language </strong><br />
<a href="www.legalformsattorney.com/using-legal-forms">How to Use Legal Forms</a> examines contract language in detail. The book explains the importance of language, and provides a number of examples. Here we will consider one of the most common intentional uses of vague language: the term “best efforts.”</p>
<p>A standard use of vague language is the phrase “best efforts” and it is very useful when you want to express a commitment to meet an obligation that you do not have total control over meeting. For example, you may commit to “make best efforts to complete the zoning of the property” because it is a government body that grants the ultimate permission, and you cannot be held accountable for government decisions.</p>
<p>Some contracts use variations on “best efforts” such as “commercially reasonable efforts,” which refers to efforts using a standard of reasonableness defined by what a similar person would do as judged by the standards of the business community in question. Some attorneys will tell you that tests for variations of “best efforts” are lower, but you should note that case law indicates otherwise. If you want to have a lower test, then the best thing to do is include a definition of the term.</p>
<p>There are a whole host of other terms that you may come across: good-faith efforts, reasonable best efforts, reasonable efforts etc. With each term your attorney should advise on what case practice implies – often you will see that the difference from “best efforts” is not what is commonly understood unless the difference is specifically referenced in the contract definition.</p>
<p>A common way to introduce some specifics to vague contract language is the use of carve outs. For example, such terms can carve out some specific situations under which the “best efforts” obligation is no longer in place.</p>
<p>Clearly then using “best efforts” in a contract is not a simple task, both the term itself and the way the term is worded must be carefully considered.<br />
<strong><br />
Bilateral and Unilateral Contracts</strong><br />
There are two basic types of contract: bilateral and unilateral. <p>The body of the contract has multiple sections, sub-sections and enumerated clauses. These will flow naturally from the subject matter, with the basic guideline to use multiple sections and sub-sections to promote readability, and to avoid long clauses with complex sentences. <p><strong>When Contracts Are Disputed</strong><br />

<li>Punitive damages are used to punish the breaching party and often relate to cases of fraud</li>

In this article we are going to briefly discuss some of the elements which make up the front of a contract. <p><strong>Title</strong><br />
The title plainly states, with no redundant language, the type of contract that is being signed, such as, “Promissory Note” or “Lease Agreement.” It does not include the names of the parties or any descriptive language beyond that required to define the type of contract.<br />
<strong><br />
Introductory Clause </strong><br />
The introductory clause repeats the type of contract as described in the title, the date of signing, and the parties involved.</p>
<p>If the date is in the introductory clause then the signatories need not date their signatures. An alternative to having the date in the Introductory Clause is to have the signatories date their signatures</p>
<p>The recommended date format is MONTH,DAY,YEAR. For precision the month should be written, and the day and year recorded numerically.</p>
<p>The parties to the contract should be written in full, whether individuals or companies, and capitalized for clarity. A description of the parties to the contract should be included, i.e. if it is a company its state of incorporation should be included, and its parent company if there is one.</p>
<p><strong>Recitals</strong><br />
Recitals take the form of a few short paragraphs presenting the background to the contract. They can be used in a number of ways, including notes of any contracts being entered into simultaneously and explanation of the events leading up to the contract signing.</p>
<p><strong>Contracts Summarized</strong><br />
A contract is a legal agreement which binds parties to certain terms. The safety net that it provides is that it is enforceable in a court of law, but the whole point of a contract is to avoid ever having to go to court. The courts are just there to provide a remedy in the event that one or more of the parties breaches its terms.</p>
<p>Contracts are agreed once there is mirror image acceptance i.e. once the parties accept one another’s terms without qualification. For contracts to be binding they must be practically possible to be execute, and not illegal.</p>
<p>The law governing contracts is underpinned by the principle “pacta sunt servanda” which basically means that agreement are to be kept. It is part of a general law of obligations, and is joined under this classification by tort law and unjust enrichment.</p>
<p>Although contracts can simply be oral agreements they are usually documented for practical purposes, as the written document can be provided as evidence of the contract.</p>
<p>At the heart of a contract is the concept of offer and acceptance, which is basically the situation where one party makes an offer that the other party accepts. In legal parlance this is referred to as ‘concurrence of wills.’ For a contract to be legitimate it must evidence, or have supporting evidence, that all parties assented to engage in the contract. This test is on the basis of whether in the eyes of a reasonable person the parties gave the impression of accepting the terms, regardless of whether they actually did so.</p>
